The 1M shares of preferred are convertable into 1.3M shares common. If they are converted and become part of the 15% of the new Marker than 12.6 shares represents 15% of what Tecnica is paying $15M for. 17% = $3M so... 15% = say 2.7M devide by 12.6 = $.20 cents a share. Ouch! It is important to write things down.
