LVEN's SHAREHOLDERS APPROVE PROXY PROPOSALS July 15,1999

All eligible votes have been received and tabulated and LVEN shareholders have approved (1)the issuance of 3,000,000 of the Company's 36-month restricted common stock for equity consideration of $305,000,000, and (2) the purchase by LVEN of 50% of Sulmatic.
