Q2 Operational Charges Achieved

1) Ramp up of CF card assembly/test production in China.
2) 128 Mbit qualification and initiation of volume production
3) Start up MMC production in Taiwan

Celestica Performance

SanDisk is very happy with the quality, output and cost structure of
the cards produced in China by Celestica.

Market Share

According to IDC, SanDisk had 41% of the flash memory market share in
1998. Dr. Harari stated that MB shipped is increasing at a rate of
40% per quarter and this "aggressive" pace is expected to continue.

Design-In Tallies

60 announced or "to-be-announced" platforms

I wished to correct myself. In August there will be "mandatory
settlement discussions", not a "mandatory settlement".

Q3 Goals

1) 128 Mbit production ramp
2) Expansion of MMC production
3) 256 Mbit internal qualification in advance of Q4 production
4) Increase "buffer inventory" wherever possible

Concerns and Expectations

1) Still highly dependent on "turns business"
2) Part shortages
3) Adjustment of gross margins likely (128 Mbit product)
4) Q3 revenues should exceed Q2

The remainder of the concerns include, but are not limited to,
those included in the annual reports and those discussed by
Ms. Burgdorf during the c.c. (ASP erosion, product release timeliness,
seasonality, manufacturing hiccoughs, wafer supply, brand recognition,
assembly success in China and Taiwan, currency issues, etc., etc., etc...).
