"Meet the Management" meeting July 20, 1999
As a service to PABN shareholders and other interested parties, here is a list of questions and answers about Insider Trading while we are processing the log file from the Meet the Management online meeting with Charles Vaccaro, President of Insider Trading. Questions are broken up into the following topics:
Services - Marketing - Expansion - PR - Franchises
Due to the change in format from the 7/20 meeting, unfortunately we are having problems compiling the log file and will do our best to have it up by end of day on 7/20. We apologize for any inconvenience.
Services 1) In what states is Insider Trading licensed? Insider Trading does not need a license. Gold Country Security needs a license. Gold Country Securities is currently licensed in the following states:
AK, AR, CA, CO, FL, GA, IA, ID, IL, IN, KS, KY, LA, MA, MD, MI, MS, MT, NC, ND, NJ, NM, NV, NY, OK, OR, PA, RI, SD, UT, VA, WA, WV, WY.
Gold Country Securities is also NASD and SEC registered.
2) Why isn't Insider Trading licensed in 50 states? Insider Trading does not need to be licensed, as Insider Trading provides communications and remote access. Applications have been submitted to all 50 states and some US territories for Gold Country Securities, as Gold Country Securities is the broker dealer through which Insider Trading's customers trades are transacted.
3) When will Insider Trading be licensed in all 50 states? Again, Insider Trading does not need to be licensed- Gold Country Securities must be licensed. Gold Country Securities will be licensed upon approval in each state. We have no control over how long the approval process takes. Please check the Insider Trading web site for the latest list of states in which Gold Country Securities is licensed.
4) When will online trading be offered through Insider Trading? Online trading is currently being offered in beta stage. You can sign up for the beta version on the web site.
5) It was once said that Insider Trading provided trading for OTC stocks such as PABN through a Level II/ECN platform- can you provide more information on this? Insider Trading provides trading for OTC, but not for BB stocks. Trading for BB stocks requires an additional form for disclosure. We do not have plans to offer trading for BB stocks at this time.
6) Will Insider Trading offer different levels of service, from beginner to pro; not everyone wants/needs Level II? Insider Trading will not offer different levels of service immediately; we do not have plans for anything other than Level II at this time.
7) I'm not an experienced trader; will you offer services, features and benefits besides Level II? The niche market on which Insider Trading focuses is the active day trader.
8) Will Insider Trading compete with Schwab, NDB, E-Trade and other brokerages, online and offline? Insider Trading is a remote access center, not a broker dealer. Therefore, we do not consider the broker dealers to be our competition.
9) When will next Insider Trading seminar be held? The next Insider Trading seminar will be held after the Labor Day weekend, most likely in Garden City.
10) Is there a charge for the seminar? No, there is no charge for the seminar. Once we have a definitive date, we will post the information on the Insider Trading web site, along with information on how to pre-register.
11) Is there a charge for the day trading classes? Yes, the fee for the classes is $1495. However, $1000 of the fee is redeemable upon the completion of 500 trades with Insider Trading within 90 days. The trades can be made either in the day trading offices or via remote trading.
12) Why do you charge for your classes when other companies do not? What companies to you know of that do not charge for classes? Our research and records indicate that some companies charge as much as $3000-5000 for day trading classes. In addition, we provide a trader support team on the floor, and trader support for Internet traders as well.
13) What is the connection with Teachdaq? Insider Trading is in negotiations to establish a proprietary relationship with Teachdaq
14) Is there a fee for the Insider Trading software? No, however there is a fee for the datafeed.
15) How many trades are we averaging with Insider Trading? Our day trading rooms in are averaging 20 trades per person per day. 16) How many accounts does Insider Trading have? We do not feel it is in our best interest to provide our competition with information about our trading volume.
17) How many active accounts does Insider Trading have? We do not feel it is in our best interest to provide our competition with information about our trading volume or our clients.
18) Will the Insider Trading web site become a service comparable to E-Trade? Currently, E-Trade clients average 2 trades a day versus our 20 trade a day average. Our market is not the same market as theirs.
19) Will individual online trading services be offered through Insider Trading like E-Trade? Currently, E-Trade clients average 2 trades a day versus our 20 trade a day average. Our market is not the same market as theirs.
20) When will the new Insider Trading web site be launched? The new Insider Trading web site is currently in development.
21) Can I trade online via the web site now? No, the web site is not designed for online trading. However, you can sign up for the beta Internet-based remote trading service via the Insider Trading web site.

Marketing 23) What kind of marketing will be done for Insider Trading? IT will utilize a multimedia mix that will include Internet, print and appropriate broadcast media. The marketing will focus on our free seminars and open houses with an ad campaign implemented approximately two weeks prior to the event. The purpose of the free seminars and open houses is to promote our trading centers and Internet trading services. Internet marketing will be done on a consistent basis to promote IT services
24) In which markets will Insider Trading commercials air? Commercials will air in the markets where we have an IT office open. Currently that is in Long Island and The Boca Raton area in Florida.
25) Against whom is Insider Trading competing? Insider Trading competes against other Electronic Day Trading companies of which there are approx. 100 similar competitors.
26) How is Insider Trading positioned against its competition? Insider Trading offers both on-site and Internet trading. Many of our competitors only offer Internet trading and have no trading centers. It also incorporates a strong training program that many of our competitors do not offer. Insider Trading also is committed to offering access to multiple brokers to allow our traders a choice of brokers through which to trade rather that one exclusive broker.
27) How will Insider Trading compete with other brokerages, online and day trading services? Insider Trading will compete by offering an exceptional training and support program. Most competitors focus on the trading services and software, which are pretty similar from company to company. IT is committed to creating a system that supports and enhances a trader's ability to learn and succeed.
Expansion 28) Where will next Insider Trading office be? We are currently doing a market analysis to determine which geographical location best fits our demographic criteria. A final determination has not yet been made.
29) Any plans to open an Insider Trading office in Las Vegas? Las Vegas is one of the markets that are under serious consideration.
30) Are there targeted markets for the Insider Trading franchises? Yes, the franchise strategy will be based on the same demographic criteria as company office expansion. PR 31) Will there be any PR regarding the official release of Insider Trading? Yes.
32) What will next PR be about? That information will be contained in the release.
33) When can we expect more PR? When there is something occurring that we feel is newsworthy. We do not put out releases based on hope and speculation.
Franchises
34) When will Insider Trading be operational as a franchise? We have targeted the implementation of the franchise program for September 1999.
35) Are there targeted markets for the Insider Trading franchises? Yes, based on our demographic criteria.
36) How can I start an Insider Trading franchise? The details of how to start an IT franchise will be contained in the UFOC (Uniform Franchise Offering Circular), which will be available with the franchise program rollout.
