Not exactly. Each share has a par value. Also each share is worth one vote. So, although one share may be as worthless as 50 million on the open market, that's where their 'equal' status ends.

The next thing to look at is the validity of the purchase agreement under which the 50 million shares were acquired.

Selling something which does not turn out to be as represented is grounds for unwinding a purchase agreement. I understand there is also a significant body of corporation law and court decisions in support of unwinding such a purchase. That's if an unwinding is opposed by anyone.

If an unwinding is agreed to by the parties, it's not too difficult to accomplish. In order to preserve the reverse merger, a mutually agreeable arrangement can be arrived at regarding the corporate entities as separate from the properties.

The SEC smiles upon efforts toward restoring shareholders to wholeness. It is not a simple process, nor is it an over night process. But it is possible.

What's that famous quote? Something to the effect that all it takes for the bad guys to win is for the good guys to not do anything...
