I'm not qualified to speak with authority but that seems to be the case. Without seeing the actual agreement, it is hard to know exactly who is guilty of what at that level.

Regardless, it seems to me there is one (if not several) bases for unwinding the agreement and canceling the shares issued to Mr. Tow, with or without his cooperation (one would hope it would be "with").

Kind of makes me wonder why anyone would expend any effort in defense of his ownership of those shares and therefore control of the company.

In any case, once that is unwound, the next question is what is the status of the reverse merger. It seems to me it would have to remain in effect--too much water over the dam.

Otherwise if the reverse merger could be unwound, then would shares of other entity be distributed to MTEI shareholders (similarly to a spin off)??? I'm just thinking out loud here...just guessing.
