In my opinion:

The open access fight is cutting both ways. It is depressing AOL stock these last two months as investors await an AOL/cable settlement. But it has also been depressing ATHM (down 50% since April) as investors are wary that the government may intervene against their company.

Management of both companies are motivated to deal.

Actually, of all possible competitors (to AOL, in which I hold a small stake) NOT listed, NBC would be most interesting, as it has been putting together a suite of companies under its interactive brand. Microsoft can never be counted out, of course, even though it has bowed out of the "media" biz this week. Its large stake in Comcast (a part-owner of ATHM) is evidence of its desire to maintain a seat at the table wherever its operating system and tools can be ported.

I don't think it's a bad time to buy ATHM.

In my opinion.
