I think you're right about a takeover. Obviously, a potential acquiror has read this clause, and it not likely to try a hostile. Even if NM declined a bid, the bidder could still raise it quite a bit, and still pay less than they would if this shareholder rights plan was initiated. And if the bidder offered more than their original bid, it's somewhat likely that NM would agree.

I'm not looking at options right now. My most immediate plan is preparing to buy some more shares of some other stocks I hold, since they have been knocked down pretty hard, and are damn cheap.
