I will have to check into that one.> If that refers to, say, a Nevada corporation "reincorporating" in Delaware -- generally accomplished by means of a "reverse triangular merger" -- it would result in a completely new legal entity. New CUSIP number, new stock certificates, the whole works. Holders of the Nevada corporation's certificates would have a certain period of time in which to submit their certificates for cancellation and to receive the new ones. The effect would be the same as the legendary Riley G-style "Call In Your Certs!" campaign, with one difference: it might actually work.
