Re: Pre 14a filed with the SEC. Of course usually a reverse split does not help the stockholder. There are exceptions to this. Some companies have done a reverse split and recovered quite nicely. On the other hand, increasing the number of stocks a company can issue to 1 billion seems also counterproductive to the stockholder. Your comments?

A special meeting of shareholders of AmeriResource Technologies, Inc. will be held on August 30, 1999 at 8:00 a.m. local time at the Company's offices, 9319 Santa Fe Drive, Overland Park, Kansas, for the following purposes:
