Mortgage Bankers Holding Corp. (MBHC) Announces
Date of Shareholders Meeting

PITTSBURGH, July 23 /PRNewswire/ -- Mortgage Bankers Holding Corp. (OTC
Bulletin Board: MBHC) today announced that a shareholders meeting has been
scheduled for September 29, 1999. The Annual Meeting will be held in
Pittsburgh, Pennsylvania; place and time will be announced at a later
date.

Also, MBHC has appointed Royce N. Flippin, Jr., as their new Chairman of
the Board, and Kevin P. Maloney, President of MBHC, has been appointed to
the Board of Directors. The additional nominated board members will be
seated at the annual meeting.

It is the intention of MBHC to have the audited financials completed prior
to the shareholders meeting. MBHC also expects to be ahead of schedule to
be fully complaint (reporting) per the Securities and Exchange Commission
guidelines by year's end 1999.

The Company expects to report on the positive developments and to set
forth an aggressive and conscientious plan for the future of MBHC.
