WEST BABYLON, N.Y. (April 16) BUSINESS WIRE -April 16, 1999--Thermaltec International Corp. (OTC-BB:THRM) (TTI) announced today that it was taking certain steps to restructure its business operations and corporate structure. These steps are being taken in preparation for the anticipated merger of TTI with Solar Communications Group, Inc. (SCG) of Millville, NJ, as announced by TTI on December 11, 1998.
As part of the proposed restructuring TTI will transfer substantially all of its assets and liabilities, including its U.S. operations and the stock of the corporation conducting its Latin American operations, to a wholly-owned Delaware subsidiary, Panama Industries, Ltd. (PI). Immediately prior to its merger with SCG, TTI intends to distribute as a dividend, all of the issued and outstanding shares of PI to TTI's shareholders of record on the record date established for the dividend. The PI's shares will be distributed on a one for one basis to TTI shareholders. Further details as to the proposed distribution, including the record date for the dividend, once it is determined, will be announced.

Thermaltec Announces Dividend Date For Panama Industries
WEST BABYLON, N.Y. (May 13) BUSINESS WIRE -May 13, 1999--Thermaltec International Corp. (OTC-BB:THRM) (TTI) announced today that, as part of TTI's corporate restructuring, shareholders of record at the close of business on May 28, 1999 will be entitled to receive a dividend of stock of Panama Industries, Ltd. (PI), a Delaware Corporation, which is a wholly-owned subsidiary of TTI.
The PI shares will be distributed on a one for one basis with the TTI shareholders also retaining their shares in TTI. The dividend will be paid immediately prior to the completion of the merger with Solar Communication Group, Inc. (SCG). SCG and TTI anticipate the execution of a definitive merger agreement shortly. Upon the completion of the merger, TTI will consist only of the business operations of SCG, and will continue to trade under the symbol (THRM). TTI is now in the process of transferring substantially all of its assets in its metallurgical business to PI.
Panama Industries intends to expand its metallurgical activities in Latin America, and intends to continue acquiring existing technologies and/or companies in the metallurgical coatings business in North America. The work that TTI has been doing with the New York State Department of Transportation and the New York State Energy Research and Development Authority, respectively, to introduce an alternative to traditional painting and epoxies on highway bridges, and an alternative to the hard chrome plating process will also be transferred to PI. Thermaltec Announces Signing of Merger Agreement With Solar Communications Group, Inc.
WEST BABYLON, N.Y., Jun 17, 1999 (BUSINESS WIRE via COMTEX) -- ThermaltecInternational, Corp. (OTC-BB:THRM) (TTI) announced today that it has executed a merger agreement with Solar Communications Group, Inc. (SCG) of Millville, New Jersey.
Pursuant to the merger, SCG will be merged into TTI with the shareholders of SCG receiving over 95% of the issued and outstanding shares of TTI common stock. In preparation for the merger, TTI has transferred substantially all of its assets and liabilities into a wholly-owned subsidiary, Panama Industries, Ltd. (PI). Shares of PI will be distributed, on a pro rata basis, to TTI shareholders of record as of May 28, 1999, immediately prior to the closing date of the merger. TTI's current shareholders will also retain their shares in TTI.
Completion of the merger is contingent upon the receipt by SCG of certain regulatory approvals, approval of the merger by the shareholders of TTI and SCG, and satisfaction of certain other customary closing conditions. An announcement of the closing date will be made as soon as it has been fixed.
