A cursory review of Pensat indicates that they are a International facilities based carriers carrier. They have formed a unique way to attract small and medium PTT's in Hispanic areas with their Global Network Consortium (GSN).

It appears the Pensat leases facilities..not sure if satellite or undersea cable based...and is a reseller of these International facilities to "MEMBERS" of their GSN. Normally, these small and medium "MEMBERS" cannot afford to join a "CARTEL" in hopes of building their own networks...and turn to companies like Pensat...and pay a premium for services. In addition, they provide back office operations to MEMBERS in the area of credit and debit cards operations for MEMBER customers who travel. Once again it appears to be a dial around situation where the "customer" of a MEMBER dials an 800# to get to the Pensat GSN and calls are routed over the network and Pensat bills the PTT who in turns bills the customer (VERY EXPENSIVE WAY TO HANDLE CALLS...you can bet it is not .10 a minute <G>.

In addition....Pensat appears to provide some ACCESS to PTT's who have a concentration of their customers (the Pensat webpage did not specify how!!) in large buildings (apartment and/or commercial???) as a form of bypass to the "last mile" provided by the local service provider. This could be a "hook" for MEMBERS.

It appears that there is synergy with the PCOM business model...especially since they fit the model PTT that Pensat focuses on!!! I do not know what PCOM pays for international facilities but this merger should provide economy of scale with regards to network cost! PCOM could see some cost savings with this synergy.

I found NO information on management!!! I did notice that Pensat is a sponsor of a racing team!! This is a strong marketing tool in BRAZIL and other latin countries.

Frankly...I am not sure if you should be happy or sad! Pensat does not seem to be a publicly held company and do not know how they will treat the acquisition PCOM! I also do not know what they have agreed to pay for PCOM!

Like I said...this is a cursory view and I will continue to dig around after I finish these REPORTS for my CLIENTS!!!! Jeezz, they are demanding!!!<GG>

Keep the faith until more information is found.
