Zeros & Ones, Inc. has retained Investor Communications Company, LLC through IC Holdings III, LLC (collectively, "ICC") to provide investor relations services. ICC has received compensation in the form of 54,000 restricted common shares. Forty percent vested immediately, with the balance vesting over a twelve month period. In addition, ICC receives $2,500 per month till October 20, 1999 in cash, plus expenses, to provide investor relations services to Zeros & Ones, Inc and commencing after October 20, 1999, ICC will receive $5,000 per month for the term of the contract. The term of this contract is for twelve months.
