Hall Dickler Kent Freidman & Wood of New York, N.Y., has provided a legal opinion for the operation of
www.cardstakes.com.

Hall, Dickler et al currently represent more than one hundred advertising and sales promotion agencies, ranging from small and
mid-sized firms to multinational agencies.

This opinion states that Cardstakes.com sweepstakes falls under the sweepstakes and promotion laws of the United States,
allowing residents of the United States to freely participate in sending and receiving the company's electronic greeting card,
while also enabling the recipient to play an Instant Win ticket for cash and participate in sweepstakes or huge jackpot prizes.
With the same ticket the recipient and the sender also participate in two draws, a monthly and a yearly draw. Both the monthly
and the yearly draws are shared between the sender and the recipient -- with the recipient receiving the larger share.
