Hi Bob,

No, these shares are not special. It is a Regulation S (Offshore) private placement.

In December 1996 Global announced that C.M. Oliver & Co was retained to arrange a financing of between $3 and $6 million for Global by January 31, 1997. As a result of internal problems in C.M. Oliver & Co their senior mining executives resigned and the Global financing was not completed. The current weakness in the Global stock reflects the disappointment in this failed financing.

The recent press releases by Global and Kensington Resources indicate that Global's financing is now being completed at prices higher than the current market and we anticipate that the share price should improve in the near future to reflect the prices of the private placement.
