I don't fault COMS management for selling at the top given the fine margins they were getting from the 10/100Mb NICs, and they thought that trend would continue. I'm much more suspicious about the stock dive. The fact that they sold means they had even less reason to maintain the price at high valuations.

COMS and USRX must have agreed on a fair market value for USRX, and they must have further agreed that they would bind the ratio to match that fair market value on 25 Feb. Changes in COMS price really had no effect on the deal at all from a COMS management perspective. The lower COMS went, the better the deal for USRX since the absolute value is fixed and the more potential for COMS to go back up taking USRX with it. COMS shareholders suffer temporarily.

Can you think of any downside for COMS management? The law suit :-) What else?

I guess this whole exercise doesn't really add any value to my ability to trade these stocks.
