Geomaque Announces $4.6 Million Rights Offering
TORONTO - Geomaque Explorations Ltd. today announced that, subject to required regulatory approvals, it plans to offer rights to its shareholders to subscribe for up to 7.6 million units, each consisting of one common share and one-half of a warrant. Should all available rights be exercised, gross proceeds to Geomaque will be $4.6 million, exclusive of any proceeds from the exercise of warrants. Proceeds will be used primarily for the completion of construction of the Vueltas del Rio Mine in Honduras.
Under the offering, each shareholder of record will receive one right for each six common shares held. One right will entitle the holder to purchase one unit (consisting of one common share and one-half of a warrant) for $0.60 on or prior to the expiry date of the offering. Each whole warrant will entitle the holder to purchase one common share at a price of $0.90 at any time within a period of 18 months from the completion of the rights offering.
Canaccord Capital Corporation will act as soliciting dealer. Canaccord has also agreed to provide a standby purchase commitment relating to this rights offering, whereby it will purchase, at $0.60, up to 2.5 million units not otherwise subscribed for and purchased by rights holders pursuant to this rights offering.
