One problem you face is that the lion's share of ADLAC's (financial & managerial) resources is presently directed at CTYA's assets, particularly those is So. Calif. These are the most valuable assets that they will acquire in the upcoming merger.

The value in the assets is in future revenue to be gained by delivering broadband access & upgrading their plant from a 560 MHz to a 860 MHz system that will deliver a greater number of broadcast channels to CTYA's LA subscribers. Later, I would assume the upgrade will convert to digital, which bring in some e-commerce revenue.

Without the investment here in So. Calif. ADLAC will never realize the value of their investment, & I am emphasize never. IMHO, they have no more than about 1 1/2 years, probably less, to complete their upgrade before their subscriber base here will dwindle in face of competition from the DBS providers as well as the telecos delivering DSL, with respect to Internet access.

Also consider that HDTV, while here, while be coming on stronger in the next year or two. In LA, you can get over the air. The DBS providers can deliver it quick since transmission is already digital & is converted to analog by the receiver before transmitted to your TV. The MSOs are going to have the toughest (reluctant) time broadcasting HD signals due to bandwidth constraints.

JMO.
