Actually, MSFT is under threat from Ma Bell. They got cable and dsl.

Which part of Ma Bell are you talking about here? Remember that Microsoft is a major player in the cable world and in DSL.

Just a few examples: They are one of the partners in RoadRunner, the second-biggest cable modem service. They hold a major stake in Comcast, the third largest US cable company. They took a major stake in AT&T in order to get a privileged place in their settop boxes.

They also have equity positions in Rhythms, one of the major competitive DSL providers. (I think in one of the others -- either Northpoint or Covad -- as well.) Hell, they'll even have a major stake in one of the Baby Bells if Qwest's purchase of USW is completed.

Unlike AOL, Microsoft is in a great position to take advantage of broadband.
