Filings are finished, should be submitted to SEC TODAY.

Only thing now is SEC approval, so if all is ok then it will be a matter
of weeks before it is on Edgar.

From Phone convos:

50 Authorized
13 Million shares
4.5 Restricted
Zero Debt
No loans outstanding

No Convertible debentures
No Preferred shares

Quite a few employees getting paid in stock instead of salary. That is
INCLUDED in the 13 million outstanding.

I am back in over next few days. When the documents are on Edgar
we will all see how clean this operation is, but I like the prospects at
these levels.



The filings will be on Edgar for all to see soon, I don't know how long
it takes for the SEC to review and approve the documents, but they
will be there long before the OTC requirement.
