This article does not make sense. It is indeed a strange provision amd Sobel made out like a bandit with his huge stake in NTOP. But why would anyone want to trade a stake in NTOP worth over 60M (today) for IDT stock worth about $14.7 million for just $5.7 million. Doesn't sound like much of an incentive to me. He would make only 9M on the IDTC stock whereas even if NTOP were to fall to 5, Sobel's stake would be worth 18.75M. NTOP would have to fall to 2.5 to make it worthwhile for Sobel to convert to IDTC shares. Seems like a non-issue to me.
