Interiors, Inc. Terminates Agreement to Acquire Decor Group, Inc.
MT. VERNON, N.Y.--(BUSINESS WIRE)--Aug. 4, 1999--Interiors, Inc. (NASDAQ: INTXA - news) and Decor Group, Inc. (OTC: DECG - news) today announced that Interiors terminated the merger agreement pursuant to which Interiors was to acquire each outstanding share of Decor in exchange for one-half of a share of Interiors.
''Since the transaction was announced, Interiors' business has changed considerably,'' said Max Munn, President and Chairman of Interiors, Inc. ''Interiors' annualized pro forma revenues have grown from $13.3 million to approximately $155.0 million during the past year and we have demonstrated our ability to make successful acquisitions. While the acquisition of Decor, on the terms previously announced, no longer makes sense for Interiors, I expect that the two companies will continue to explore other transactions or strategic alternatives. Of course, there can be no assurance that any transaction ultimately will be consummated.''
Interiors, Inc. is a rapidly growing designer, manufacturer, and marketer of a wide range of decorative accessories for the home furnishings industry. Through its acquisition strategy, annualized pro forma revenues have increased from $13.3 million to approximately $155.0 million during the past year.
