MSFT tracking stock? Why would MSFT want any kind of tracking stock since their own stock has a higher multiple than many real internet companies?

With Microsoft considering a public offering of a tracking stock for its internet busines, they are going to be receiving a boatload of new cash. They will likely want to acquire a few more companies or buyout existing investments. They do not get much cheaper than ADBL. Did anyone read that provision in the prospectus about buyouts. If a company approached ADBL about a buyout, MSFT needs to be informed right away, kicking off a 3 week negotiating period which ADBL can accept or decline. Basically, a bidding war where ADBL can accpet the best deal, from company A or the deal it would work out with MSFT.
