NEW YORK, Aug 5, 1999 /PRNewswire via COMTEX/ -- The American Stock Exchange(R) today began trading Morgan Stanley Dean Witter & Co. 7% Reset Performance Equity- linked Redemption Quarterly-pay Securities(SM) (Reset PERQS(SM)), mandatorily exchangeable for shares of QUALCOMM Incorporated Common Stock at maturity. Trading under the ticker symbol MQP, the $18 million offering consists of Reset PERQS issued at $1,436.39 each, with a maturity date of August 15, 2001.

Reset PERQS are similar to other debt securities in that they make fixed quarterly interest payments, in this case at an annual rate of 7% on the $1,436.39 principal amount of each Reset PERQS beginning November 15, 1999 (equivalent to $100.5473 per annum). Unlike ordinary debt securities, among other things, the Reset PERQS do not guarantee the return of principal at maturity. In addition, Reset PERQS are unique in that:

At maturity, holders of the Reset PERQS will exchange each $1,436.39 principal amount of Reset PERQS for a number of shares of QUALCOMM Incorporated Common Stock determined by the applicable Exchange Ratio.

The initial Exchange Ratio is set at 10 QUALCOMM Incorporated Common Stock per Reset PERQS and may be subject to adjustment on the First Year Determination Date and at maturity in order to cap the value of the QUALCOMM Incorporated Common Stock to be received upon delivery of the Reset PERQS.

The Cap Price may be adjusted to the greater of $210.79, or 150.564% of the $140.00 closing level market price of QUALCOMM Incorporated Common Stock on August 3, 1999, the date the Reset PERQS were priced.

In the Second Year, the Cap Price may be adjusted to 146.75% of the closing level of QUALCOMM Incorporated Common Stock on August 15, 2000, subject to a minimum equal to the First Year Cap Price.

The maximum a holder of MQP can receive at maturity is QUALCOMM Incorporated Common Stock worth $3,093.34 per Reset PERQS.
