Most analysts seem to be happy with the strategic fit. The main negative that people are focusing on is the pooling of interests deal and the Avion server group.

Most likely, EMC wanted to do this deal as a purchase and not a pooling of interest. That way, EMC could have gotten rid of Avion quickly. Note that this question was glossed over during the conference call. It appears that DGN management felt that there was value in the IBM lawsuit, and thus insisted that the deal be done as a pooling of interests. Thus, EMC is stuck with Avion (which has no clear fit within EMC) for at least two years.
