Nouveau, RE: DG has less than 51 million shares outstanding. At .3262 shares of EMC per share of DG creates 16 million new shares of EMC. At $1.35 per share for 2000, EMC only needs to earn an additional $21.6 million to cover the dilution.

Although it should be noted that in the past decade, DGN has only had a net profit three times, so $21.6mm in earnings is by no means assured. DGN will also most likely lose money in the coming quarter and for FY 99. On of the keys for the acquisition being accretive next year is probably the write off that will happen at the end of this year. EMC will try and throw as much as it can into this write off in order to show accretion next year.
