I will not be posting the takeover offer on our website, nor on this thread. I will however mail it to whomever requests one. I think the TSE has a policy that this sort of thing can only be posted on their SEDAR website.

Roughly 85% of Techcorp's 1998 revenue came from Alpine, as disclosed in the back of the Techcorp annual report. As far as being "non-arms length", some of Alpine's management are TCA shareholders. In the original prospectus for TCA, the founding insiders were Rod Hauser, Jim Lake, Taylor Gray, Michael Todd.

Once you receive a copy of the Techcorp valuation/fairness opinion, or are able to view it on the SEDAR site (I think it will be posted there), you will be able to draw your own conclusions on the merits of this transaction.
