Name Change and Consolidation

Pursuant to a special resolution passed by shareholders March 3, 1997, the Company has consolidated
its capital on a 10 old for 1 new basis and has subsequently increased its authorized capital. The name
of the Company has also been changed from Swannell Minerals Corp. to GlobeNet Resources Inc.

Effective at the opening April 1, 1997, the common shares of GlobeNet Resources Inc. will be posted
and called for trading on the Vancouver Stock Exchange, and the common shares of Swannell Minerals
Corp. will be delisted. The Company is classified as a 'Venture' company.
