Dan:

I listened in the conference call that the analysts had with ASND and
NTSR management. Basically the big thing is that ASND is going to use
NTSR's IP switching technology to produce a new product later this
year. They will also other products, but this is the big thing. This
product will do 2 things:

1. Increase transfer performance from 300-500k packets/sec to 2.5
million packets/sec.

2. The new product will have the combined performance of a frame relay
switch as well as a router with greater performance. The cost will
be lower that what an ISP/Bell would pay for the separate frame relay
and router units.

3. Another item is the NTSR gigarouter which will serve as a front
end product to the SuperMAX family.

My impression (not being an hardware expert) is that ASND beleives
that over networks and the internet routing is the current bottleneck
and they are trying to solve that problem. The new product also will
try to take away some market share from CSCO because of anticipated
superior performance. My guess is that with increasing international
sales (NTSR also has strengths in Japan), ASND may concentrate more
on international sales for the new IP switch product. I think already
about 40-50% of their revenues in some products come from international
sales.

Let me know your views on the merger.
