TD filing preliminary prospectus for issuance of common shares

TORONTO, Aug. 11 /CNW-PRN/ - The TD Bank today announced that it is filing a preliminary prospectus providing for the issuance of common shares of the Bank with Canadian Securities Administrators and the United States Securities and Exchange Commission (SEC) under the Multi-Jurisdictional Disclosure System (MJDS).

In response to demand from investors, the Bank will offer common shares on an unconditional basis, rather than Subscription Deposit Receipts.

The common equity offering is expected to total approximately CDN$700 million. Based primarily on greater use of securitization than originally anticipated, this offering constitutes the entire common equity portion of the capital required to finance the acquisition of CT Financial Services Inc.

A registration statement relating to these securities is being filed with the Securities and Exchange Commission but has not yet become effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
