Suit Filed To Stop S3, Diamond Merger

Two disgruntled stockholders have filed a suit to halt the merger of Diamond Multimedia with S3.

Neal and Brenda Strum filed the suit in Santa Clara County Superior Court seeking class-action status and a court order to stop the merger, according to a report in Bloomberg News. The Strum's believe the value of Diamond's stock was undervalued in the merger. The suit names Diamond's corporate officers as well as S3 as defendants.

"Bottom line, it's a nuisance lawsuit and we believe it's completely without merit," S3 spokesman Paul Crossley told Maximum PC late Wednesday. Diamond officials refused to take question about the suit.

S3 proposed a $200 million buyout of Diamond in June. The merger has passed several hurdles without problems and is scheduled to go before shareholders for a vote in October.
