<<A fair minded person at least has to agree that Seek management did not negotiate well for shareholders and that DIS did a great job in getting something for apparently, nothing. I have freinds that held up to the highs of this year. They too are very dissapointed. Thoughts? Steve D.

You have some very valid points...but we must consider a few things.

First, SEEK is down big time. If it was one of just a few going down, there would be cause for worry. The whole internut sector got whacked. SEEK actually held up as good, or better then many other's.

Both management teams and their consultants thought this was a good deal. Key word = Consultants. Remember, both parties had outside, neutral parties helping them bang this thing out.

It is really easy to look from the outsided and say " we should have done this....or we should have done that "...very easy to sit in our chair telling them what is best for the company. Now lets be realistic...we are nothing but shareholders. There is so much we DON"T KNOW. It is very easy to sit on your couch and tell Steve Young what he should have done every sunday, to help the 49rs win. Bottom line, if you were that good...you'd be a football coach. This is no different. We all do whatever we do for a living. Does Mike the accountant tell Joe the plumber the proper way to fix a leak ? No. We have no right to sit here with seek and play aemchair quarterback. We have every right to have an opinion and to voice that opinion as we all are part pwners of the company. But sitting here at my desk, I can't begin to honestly say that I know what is best for seek. We must put our faith in management and let them do what they feel is best.

Lastly...good deal or bad deal ??? We can debate all day long, but bottom line is we have no way of knowing until it is in the past. Lets look in a year....2 years and see what the answer is. My bet is that we will be very happy down the road...but thats just my feeling.

Good Luck to all
