From the 8th or the 12th? If the Eight of July ( 31 days in July) it would be 50 days today ( the 17th)...if the 12...4 less..46 days ago...It is anyones guess with the stock climbing at a cent or two, so what is it going to mean? We wait.

MESSAGE TO SHAREHOLDERS

Recently there have been questions raised by the investment community, our shareholders, and the media. I want to take this opportunity to respond to our shareholders as I have these other sources.

Question: Is there really gold in the Maxam claims?

Answer: After spending the past 17 years and over two million dollars on engineering, chemical and geological studies, plus leach tests and assays which number nearly 20,000, I can confidently state that gold is present and in economically valid quantities.

Question: Does the Maxam chlorine/bromine process really work?

Answer: Approximately 100 small batch leach tests have been conducted. Professional and financial analyses on the results from these tests are absolutely convincing to me that gold is extractable in economically valid quantities. In addition, the results are conclusive that Platinum and Palladium are present in the Maxam ore.

Question: Are any of the Platinum Group Metals (PGMs) extractable using the Maxam leach?

Answer: Maxam is in the process of arranging for a large bulk test program to determine the extent of exactly how extractable the PGMs are and in what quantities to further determine their economic importance. If the tests prove successful, Maxam will become more than just a gold producer.

Question: When will Maxam be able to commence production?

Answer: Approximately two years from receipt of funding in the amount necessary to properly design, develop, and execute the mining operations. Our engineering consultants have advised that we budget $20 million to commence production.

Question: When will funding in this amount become available to Maxam?

Answer: I do not know. For the past three years we have continually sought operational and production funding. As of this date it has not occurred. Funding for any start-up business is never easy, especially for a desert alluvial gold mining company. It has required tremendous concentration, effort, time, and a lot of promises and disappointments. We intend to continue our intensity to develop the required funding.

However, keep in mind that conventional sources will not consider this type investment. Therefore, we are continually looking for those innovative financing sources who run counter to the traditional lending sources.

I have in 25-years of business consulting successfully used innovative financing sources for start-up companies, and I believe we can do it here. But it takes a great deal of effort and the ability to accept rejection and the tenacity to try it again.

MAXAM FUNDING UPDATE

Maxam Gold Corporation on May 12, 1999 announced that it was entering into a $30 million funding agreement, with closing and initial draw of $10 million scheduled for July 1, 1999. The funding is secured with the open-pit mineable resource of 6,000,000 Troy ounces Gold Equivalent on the four Peoria Seven claims, plus 50 million common shares of Maxam Gold Corporation.

At the final contract meeting, it was determined that the funding source had not met two of Maxam's required conditions. As a result, Maxam has agreed to grant a 45-day extension for the source to meet these conditions. Failure to meet these conditions will result in the security being released from the trust account, making it available for other sources of funding presently under consideration.
