Cash Position / Recent Private Placement / Future Investments

ú NSI has no debt and $2.6 million in cash (as the time of the meeting).
ú Regarding the recent PP, $1.1 million was subscribed for at $3.50/share, and $4.50 for the warrants.

Revenue Targets Going Forward

ú 1999: $10 million (through increased revenue and acquisitions)
ú 2000: $20 million (through payoff from Vanenburg group pilot projects turning into contracts and increased business-related projects, etc.)
ú Revenues will double each year from then on. Goal is $100 million in 3 - 5 years (from the NSI document - Understanding Our Business).

Profit Margins

ú Hardware Resale: 8% (decreasing)
ú System Integration: 50% (decreasing)
ú i-Business: 50% (increasing)
ú Virtual Communities: 50% (increasing)

Shares

ú Outstanding: 33.8 million
ú Trading: 18.7 million
ú In Escrow: 7.3 million (includes those for Answers.com).

In order for the special warrants to be converted, NSI would have to show a positive cash flow of .20½ per share or over $8 share price for 20 sessions in a row within 12 months (Aug. 2000).

Management Remuneration

ú The management team has set aside higher salaries in return for increased options.
