Hey! Anybody out there? This looks like a pretty reasonable deal to me. Maybe not a fan-damn-tastic scenario, but positive. Shareholders can opt to receive $8.75 per share AND an equal number of shares in the Newco. My take on the Newco: worth anywhere from $6 to $12 per share, depending on market vagaries. At a valuation of the lower end ($6), Newco would be trading at a little less than book value, a PE ratio of about 5 or 6, and a price sales ratio in the neighborhood of .3 (sorry for back of the envelope approximations). With stock at ~$10, it looks like a pretty safe 50% gain. Anyone care to comment? Please? Paul
