"What's bad about it?" (the 10K) Without even touching on the dollars and cents, there were several statements that could be the kiss of death here.

Look at the second page, under "Operations". 1st paragraph talks about using debt to equity conversions. They are going to use more stock to settle their debts and for future financing. They're talking more dilution. Then the 2nd paragraph talks about their difficulties in paying vendors on a timely basis. No vendors no products no sales. So it also says These factors create uncertainty whether the Company can continue as a going concern.

Then way down there on page 6 under "Results of Operations". The very last paragraph on the following page says The Company's auditors have issued a going concern report. That is not a good thing to see.

And I haven't even touched on the financials and the P/L stuff. I guess that should be the L/L stuff.

If DMEC thinks they can pull this off, they've got to stop throwing stock around, build their reputation back up with the vendors, and get their web site noticed. And I strongly suggestion that they start doing this no later than yesterday.
