I think a lot of people are failing to grasp a certain element of SEC reporting...the time delay.

As you pointed out, the bad news is OLD news. People need to focus on a paragraph in the 10Q called subsequent events.

Since the Q covers a period that ended 6/30/99, this subsequent event paragraph discusses items of interest/material events that occurred AFTER 6/30/99 but PRIOR to the filing date of the 10Q.

The key paragraph as reported to the SEC and sworn to be accurate is this one, from NOTE 19 to the financial statements, Subsequent Events:

[B] DEBT CONVERSION CANCELLATION - The Company negotiated and intended in July of 1999 to convert certain related party payables totaling approximately $1,900,000 into shares of the Company's common stock. On August 5, 1999, the option to convert was canceled.
