Tom,

This is a reasonable assessment of the situation. The one
unknown in my mind is the question of just how many shares
of stock will be outstanding after the private placement
is announced. Daphne told me the papers were in the hands
of the lawyers so it shouldn't be too long before we know
the details of all of the offers that have been made.
