First, it generates cash for MSFT via the IPO (like they need more dough to worry about spending).

Second, MSFT retains majority ownership of the spin-off OR gives this directly to the shareholders by giving us all shares in the new company. If the new company gets valuations similar to other inet companies this is a positive for shareholders.
