At the request of the Toronto Stock Exchange, National Challenge Systems, Inc. (``NCS') acknowledges that it continues to be in negotiations with Canadian Waste
Services, Inc. (``CWS') regarding the marketing of a new proprietary organic waste system throughout Canada. NCS has the exclusive master distribution rights for Canada
and the United States to market, rent, install and service the patented and proven Organic Resource Recovery Systems (``ORRS'), which process organic waste produced at
food handling facilities.

A public company since 1994, the Company was incorporated in 1990 and has grown to be the largest distributor of recycling, waste handling and compacting equipment and
systems in Canada. The Company sells, rents, and leases its equipment.
