Pyng Technologies Corp. applied to the VSE on August 6 1999 for approval to reprice stock
options. The application was consistent with the VSE policy on Senior Board companies, had
received shareholder approval at the Annual General Meeting, and was also consistent with Pyng
Technologies policy of equitable treatment for all employees.

The VSE approved all aspects of the application to reset effective August 24 1999.

Directors and executive of Pyng Medical Corp. are aware of a number of current controversial
issues surrounding stock options and stock option repricing within public corporations in general.
In recognition of the validity of some of the more contentious issues, and after studying those
issues, particularly those issues related to Directors and executive management, Pyng Technologies
has decided to limit implementation of the approval for repricing as follows:

Pyng Technologies will request that the approved stock options agreements be modified so that
the Board Members and senior management will not be included in the repricing. Pyng will
proceed with stock option repricing for non-executive employees only.
