You are quite correct in your reminder that the payout was approved by the shareholders in advance and was contingent upon stock price performance. If investors who bid the shares up to and above that level felt nailed, they have only themselves to blame.

Hey, I hold no brief for CA, but the company's Y2K warning was timely, way ahead of most companies' willingness to admit that there even might be fallout.
