Anytime a company or person owns more than 5% of a company's stock, it must be reported.

In this case, Capitol acquired 781,250 shares of Common Stock for a purchase price of $1,000,000, meaning they paid an average price of $1.28. 781,250 shares represents 10% of the available stock.

Looks like they made a wise move at the moment. I'd say they bought these shares thinking MIDI represented a good investment. Can't see it as a negative in anyway.
