ISC Enters Into Merger with SemcoLABS

PORT ORANGE, FLORIDA--International Semiconductor Corporation (``ISC'), trading on the OTCBB as ``ISSM', has entered into a definitive
merger agreement with SemcoLABS (TM), Inc. (``Semco'), for acquisition of SemcoLABS (TM) by ISC. The completed merger is anticipated to be
finalized within the next 10 business days, with the current shareholders of SemcoLABS (TM) acquiring approximately an 85 percent interest in
ISC.

Semco is the ONLY hands-on, on-site company in the nation to specialize in the business of monitoring sanitation and bacteria levels for the
control of foodborne illnesses at specific critical control points in the food service industry.

Semco's service is compliant with the newly-issued 1999 food code covering Hazard Analysis of Critical Control Points or ``HACCP'. Semco also
provides an educational support system for food safety services, which includes HACCP plans, food safety training and third-party audits. With its
unique computerized monitoring service, which is provided ON SITE, Semco offers cost-efficient monitoring and auditing services to even the
smallest food service facility for as little as $99 per month. Semco's unique system allows a food service facility to actually view and measure
bacteria, sanitation levels and employee performance in real-time numbers and computer printouts within 15 seconds, unlike traditional 24-48
hour laboratory tests. Food service facilities can track the effectiveness of sanitizers, employee cleaning methods, bacterial growth and
performance of standard operating procedures. Test results act as an audit system for large chains and even small, stand-alone faciliti! es.

Gary Kaplan, the current president of Semco (Florida), will become president of the merger company, with Gary Rosen, current Treasurer of
Semco (Florida) taking over the duties of Chief Financial Officer. Robert Terry, Chairman of ISC, will remain as Chairman.

Semco, on July 26, executed a contract with Mutual Wholesale food distributors, the 2nd largest meat and wholesale food service distributor in
Florida, and the 16th largest nationwide, for provision of sanitation testing at Mutual's facilities. Further, Mutual and Semco have agreed to
provide food safety training to all of Mutual's clients, with Semco being responsible for the education and training. This relationship will benefit
both companies, as Mutual will be able to provide a value-added service to their clients and Semco will be able to demonstrate its services to many
of its target-specific markets in one location.

Semco is in the test phase with several large multi-store chain customers for year-round monitoring of each facility, and is currently negotiating
with prospective licensees in Los Angeles, Dallas, Chicago and Atlantic City in the United States, and for the international rights to Israel, the
United Kingdom, South Africa and Australia.
