As I understand it there are still two outstanding unconverted debenture issues. One is the "Y" debenture sold to RANA Investment Co. and RIC Investors for $750,000. Only a portion of this issue was converted in December,1996 and January 1997. In addition, at the same time that the "Y" issue was sold there was a larger "Z" issue for some $3,050,000 sold by MTI. As best I know, about $600,000 of this issue was converted and most likely sold early in March of this year.

If you take an average of today's bid & asked of 1/32 - 1/16 and assume conversion at that price there would be approximately another 70 million or so shares issued. Keep in mind that the Authorized Common Share capitalization of MTI is 200 million shares. I am quite sure that as of today there are at least 116 million shares issued and outstanding. That leaves very little room on the downside for the debenture holders to pressure the stock and still be able to get shares to convert and sell.
