One Family Proposes Reincorporation Merger into Onefamily.com, Inc.
LITTLETON, Colo.--(BW HealthWire)--Sept. 1, 1999--One Family Investment, Inc. (OTC BB:ONEF - news), an Internet based health and wellness company www.onefamily.com announced today that the board of directors of the company has unanimously approved an Agreement and Plan of Merger that provided for the merger of the company with and into Onefamily.com, Inc., a Delaware corporation and wholly owned subsidiary of the company formed for this purpose.

The Board of Directors has recommended that the Reincorporation Merger be submitted to the company's stockholders for approval. Among other things, the board of directors believes that reincorporating the company will facilitate future capital raising activities, including a private placement currently being proposed.
