Hey Dan, Welcome to the board. Is the 'they' you refer to Scangraphics or the present management. If it is the management, all of them, or just one or two? Please be specific. I can't find any record at all of an S-3 for last month and haven't seen a registration to sell since last summer. Who was the registrant? As to the private placement question, I'm wasn't aware it had been completed yet. I hope it has. The start-up of a new company is expensive and come fall, they may need the money to satisfy certain obligations. I don't think anyone who follows this company is expecting SCNG to turn in a positive Q4 or FY96. Indeed, it would be a shock if they showed a year that lost less than .25. It seems obvious that you are a Bear on this company, Dan. Would you please illuminate for all of us what Mike Mulshine has done that you don't agree with. I can't say I agree with everything he's done, but what do you have? Tom
