There is a big time exit penalty when either party want's to leave. Since it doesn't appear that Cisco will counter, I can't see anything to stop it. If you are wanting to buy into the merged company, the USRX shares trade at a discount to the 1.75xCOMS multiple, so that would seem to be the way to go.
