netoy.com Trading Temporarily Suspended On OTC BB

LARGO, Fla., Sept. 2 /PRNewswire/ -- Trading of netoy.com Corp. stock (OTC Bulletin Board: NTOY - news) has been temporarily suspended on the Over-the- Counter Bulletin Board as of market-open today.

``New SEC reporting requirements for OTC companies were developed to protect investors by providing the same information supplied by reporting companies on other exchanges,' said Gilbert Serrano, netoy.com chief executive officer. ``We are fully in agreement with the SEC's intent to inform investors and are continuing discussions to allow us to meet these requirements.'

SEC Form 10-SB filing requirements, effective January 1999, state that the Company should provide audited financial statements for 1998 and unaudited statements for interim 1999. The Company was formed in March 1999 as a result of a reverse merger with Banyan Healthcare, Inc., a publicly held home health care provider. Serrano noted that audited financial statements had not previously been required for Banyan in the 1998 period.

``We have retained the services of Foley & Lardner as legal counsel and have instructed them to pursue discussions with the SEC to clarify our status,' Serrano added. ``We are confident they will pursue this vigorously to allow us to file our Form 10-SB.'

Formed as a result of a merger between netoy.com Corp. and Banyan Healthcare, Inc., the Company has been operating as an Internet toy retailing business since March 1999. The Company provides a full range of recognized and emerging toys and collectibles, with an operational philosophy focused on superior customer service, quality merchandise and extensive selection.
